These Terms of Service constitute a legally binding agreement between you and Taps.IM Inc. Please read them carefully before using our services. By accessing or using Taps.IM, you acknowledge that you have read, understood, and agree to be bound by these terms.

Enterprise customers may have additional terms and service level agreements that supplement these general Terms of Service.

1. Acceptance of Terms

By accessing and using the Taps.IM platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our secure messaging platform and services provided by Taps.IM Inc. ("Company," "we," "our," or "us"). These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Service Description

Taps.IM provides a secure, enterprise-grade messaging platform featuring:

End-to-end encryption with military-grade AES-256 encryption
Zero-knowledge architecture ensuring data privacy
Federated server architecture for organizational control
Compliance with SOC 2, ISO 27001, GDPR, HIPAA, and other standards
Self-destructing messages and configurable retention policies
Enterprise management tools and security analytics

The Service is designed for organizations requiring the highest levels of communication security and privacy protection.

3. Account Registration and Security

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring your contact information remains current and accurate

You must not:

Create accounts using false information
Share your account credentials with unauthorized parties
Attempt to gain unauthorized access to other accounts or systems
Use automated systems to create accounts or access the Service

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service:

To transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable
To impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

To transmit any material that contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware

To attempt to gain unauthorized access to any portion of the Service or any other systems or networks

5. Privacy and Data Security

We are committed to protecting your privacy and data security:

All communications are protected by end-to-end encryption
We employ zero-knowledge architecture, meaning we cannot access your message content
Your data is processed in accordance with our Privacy Policy
We maintain SOC 2 Type II and ISO 27001 certifications
Data retention policies are configurable based on your organizational requirements
We conduct regular security audits and penetration testing

6. Enterprise Services and Support

For enterprise customers, additional terms may apply:

Service Level Agreements (SLAs) are governed by separate enterprise agreements

Priority incident response and 24/7 security hotline access
Professional services for implementation and training

Enterprise terms and pricing are established through separate commercial agreements.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Taps.IM Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain ownership of any content you create and transmit through the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

8. Service Availability and Modifications

We strive to provide continuous service availability but cannot guarantee uninterrupted access. We may:

Modify, suspend, or discontinue the Service with reasonable notice
Perform scheduled maintenance that may temporarily affect service availability
Implement security measures that may impact service functionality
Update the Service to improve security, features, or performance

For enterprise customers, service availability commitments are outlined in applicable SLAs.

9. Payment Terms and Billing

Payment terms vary based on your subscription type:

Subscription fees are billed in advance on a monthly or annual basis
Enterprise customers may have custom billing arrangements
All fees are non-refundable unless otherwise specified
We reserve the right to modify pricing with 30 days' notice
Failure to pay fees may result in service suspension or termination
Taxes and fees are additional unless otherwise stated

10. Termination

You may terminate your account at any time by following the account closure process in your settings. We may terminate or suspend your account immediately if you violate these Terms.

Upon termination:

Your access to the Service will cease immediately
Data retention follows your configured policies or applicable legal requirements
We will provide data export capabilities for a reasonable period
Outstanding fees remain due and payable
Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TAPS.IM INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all damages shall not exceed the amount paid by you to us in the twelve months preceding the incident giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Taps.IM Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

Your violation of these Terms
Your use or misuse of the Service
Your violation of any rights of another party
Your violation of any applicable laws or regulations

This indemnification obligation survives termination of your account or these Terms.

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Before initiating formal dispute resolution, parties agree to attempt good faith negotiations to resolve any disputes. For enterprise customers, dispute resolution procedures may be governed by separate commercial agreements.

The Service is designed to meet various regulatory requirements:

SOC 2 Type II compliance for security and availability
ISO 27001 certification for information security management
GDPR compliance for data protection (where applicable)
HIPAA compliance capabilities for healthcare organizations
Export control compliance for international deployments

Customers are responsible for configuring the Service appropriately for their specific compliance requirements. We provide documentation and support to assist with compliance implementations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or via email. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.

For enterprise customers, material changes may require mutual agreement depending on existing commercial arrangements.
